BETTER FINANCE and DSW revisited the implementation of the Shareholder Rights Directive (SRD II): it reveals unchanged high barriers to shareholder participation.
The Annual General Meeting (AGM) is the cornerstone of shareholder democracy. Not only is it the place where important corporate decisions are voted on, it is also the only opportunity for private shareholders to engage directly with board members and their fellow shareholders.
Due to the COVID-19 pandemic, shareholder rights in the European Union have been severely impaired, especially across borders. This is contrary to the stated goal of the EU’s Capital Markets Union initiative. For 2022 – the second full season in which the new SRD II rules are in force – BETTER FINANCE and DSW investigated whether and how custodian banks, clearing houses, and other service providers were prepared for SRD II and whether shareholders were able to fully exercise their rights by attending and voting at general meetings.
